Terms of service

1. The agreement

These terms are between SourcePro Technologies Private Limited ("SourcePro", "we") and the company that uses SourcePro ("the company"). The administrator who accepts them confirms they may bind the company. The company's staff use SourcePro under its account. Where the company has a signed agreement with us, that agreement prevails.

2. The service

SourcePro gives the company its own site for buying: vendors, requests, RFQs, quotations, comparisons, approvals and the emails about them. We keep improving it; we do not take away a feature the company relies on without telling it first. We aim to keep it available at all times, and announce planned maintenance.

3. Accounts

• The company decides who may use its site and what each person may do.
• Each person keeps their password and sign-in codes to themselves.
• The company tells us at once of any misuse it notices.

4. The company's data

The company owns what it puts into SourcePro. It lets us keep and process it only to provide the service, as the privacy policy describes. The company may take a copy at any time; after it stops using SourcePro, its data is deleted as the privacy policy says. The company is responsible for having the right to put its vendors' and people's details into SourcePro.

5. Connected mailboxes

A person who connects their own mailbox allows SourcePro to send the company's RFQs from it and to read the replies to them, as shown when connecting. They may disconnect at any time. The company uses this only for genuine purchasing with its vendors, never to send unsolicited mail.

6. Fair use

• Use SourcePro lawfully, and only for the company's own purchasing.
• Do not try to reach other companies' data, break its security, or overload it.
• Do not copy, resell or take apart the software.

7. Fees

Fees are as agreed with the company for its plan, plus GST. If an invoice stays unpaid after a reminder, we may pause the company's site after giving notice; its data stays safe meanwhile.

8. Confidentiality

Each side keeps the other's non-public information confidential and uses it only for this agreement.

9. What SourcePro does and does not do

SourcePro calculates, compares and records; the company's people decide. The company checks what it confirms, awards and sends. Beyond what these terms promise, SourcePro is provided as it is.

10. Liability

Neither side is liable for indirect or consequential loss, or lost profits. Our total liability under this agreement is limited to the fees the company paid in the 12 months before the claim. These limits do not apply where the law does not allow them.

11. Ending

The company may stop using SourcePro at the end of its plan's period. Either side may end the agreement if the other seriously breaks it and does not put it right within 30 days of being told. For 30 days after the end the company may take a copy of its data.

12. Law and courts

The laws of India govern these terms; the courts at Pune decide any dispute.

13. Changes

A new version shows its date at the top. The company's administrator is asked to accept it on their next sign-in.
